1.1 Your Apps

Subject to the restrictions below, We grant You a non-exclusive, worldwide, non-transferable, limited license to access our APIs and documentation only as necessary to develop, test and support an integration of your Apps with the Subscription Service.

Without limiting your express obligations in these Terms, you are solely responsible, at your own expense, for how you develop, operate, and support your Apps and for your own relationships with end users.

1.2 The Rules

Your license to access our APIs and documentation is limited and subject to compliance with the eBECAS Customer Terms of Service. Further, you will not: (A) access our APIs or documentation in violation of any law or regulation; (B) access our APIs in any manner that (i) compromises, breaks or circumvents any of our technical processes or security measures associated with the Services, (ii) poses a security vulnerability to customers or users of the Services, or (iii) tests the vulnerability of our systems or networks; (C) access our APIs or documentation in order to replicate or compete with the Subscription Services; (D) attempt to reverse engineer or otherwise derive source code, trade secrets, or know-how of our APIs or Services; or (E) attempt to use our APIs in a manner that exceeds rate limits, or constitutes excessive or abusive usage.

1.4 Our Right to Suspend Access and Audit

If we believe that there is a violation of the Agreement that can simply be remedied by your modification or update of your Apps, we will, in most cases, ask you to take direct action rather than intervene. In some instances, we may directly step in and take what we determine to be appropriate action if you are not responsive, or if we believe there is a credible risk of harm to Us, the eBECAS Services, Our Customers, Our Affiliates, Users or any third parties. We also reserve a right to audit your Apps to ensure it does not violate our terms and policies. You agree that you will cooperate with inquiries related to such an audit and provide us with proof that your Apps complies with our terms and policies.

1.5 Access Credentials

Once we have successfully activated your API Service(s), you will be given Access Credentials for the API.
All activities that occur using your Access Credentials are your responsibility. Keep your Access Credentials secret. Do not sell, share, transfer, or sublicense them to any other party other than your employees or Affiliates.

1. If you offer your Apps for use by others outside your organisation, you will maintain a user agreement and privacy policy for your Apps, which is prominently identified or located where users download or access your Apps. Your privacy policy must meet applicable legal standards and describe the collection, use, storage and sharing of data in clear, understandable, and accurate terms. You are required to follow applicable legal requirements if the use of your Apps will result in the international transfer of personal data. You must promptly notify us in writing via email to support@equatorit.com of any breaches of your user agreement or privacy policy that impact or may impact customers or users of the Subscription Services;
2. You will comply with any technical standards, support processes and instructions that we give you from time to time;
3. You will provide us with satisfactory answers, within 7 calendar days, to any complaints made to us about any of your Apps;
4. You will use industry-standard security appropriate for all End User Data you receive and comply with any security, coding practices, authentication or encryption requirements;

3.1 Reservation of Rights

You retain your ownership rights in your Apps and we own and will continue to own our APIs, documentation and Services, including all related intellectual property rights therein. All of our rights not expressly granted by the Agreement are hereby retained.

3.2 eBECAS Independent Development

You understand and acknowledge that We may be independently creating (or may receive from third parties) features, applications, content, or other products or services that may be similar to or competitive with Your Apps, and nothing in these Terms will be construed as restricting or preventing Us from doing so. In addition, in order to allow others to benefit from the Developer Tools, you agree not to assert (or assist or encourage anyone in asserting) any patent claims against eBECAS (or its users, or Affiliates, or Customers) where such patent claim relates to the integration, combination or interface of any applications, products or services with the eBECAS Service or our other products or services.

3.3 Modifications to our APIs and Documentation

eBECAS is still evolving, and so we need the flexibility to occasionally make changes to our APIs, including backwards incompatible changes. We will try to give notice of these changes, but you should consider viewing our changelogs for updates. Also, parts of our API are undocumented, including certain methods, events, and properties. Given that these undocumented aspects of our APIs may change at any time, you should not rely on their behaviours.
